Jack Kirby never helped create Spider-Man so why would he be allowed rights to a character?
Jack Kirby designed Spidey's outfit, and drew Amazing Fantasy #15, but his art wasn't published, they let Ditko do it instead using Kirby's character designs.....
I remember this debate/fight, whatever you want to call it, years and years ago....Was it Ditko or Lee that was saying that the Spider-Man Kirby designed was some weird brown and black outfit thing that Lee thought was horrible and Ditko came in and changed it? I know I remember Lee talking about that...I just can't remember where I saw it (I actually saw it, not read it). Lee/Ditko (?) was saying that the Spider Man Kirby wanted to do and came up with was completely different than the one that actually made it to print.
To be honest outside of the original artwork Kirby wouldn't really own anything unless he owned part of Marvel at the time. As an illustrator you're hired to do artwork that Marvel owns. It's like that with any company. If you do artowrk for an Adidas ad, you don't own a part of adidas. You really don't even own the ad anymore.

The problem is that all three (Lee, Ditko, and Kirby) had a hand in creating Spider-Man. The character as we know was ultimately created by Lee & Ditko and Kirby never denied it at the time and gave Ditko and Lee credit for it. Lee came to Kirby for ideas on a character and with Kirby came up with an idea that was fully developed and fleshed out later by Ditko & Lee. The original cover for Amazing Fantasy #15 had two versions- this is from my Spidey thread here:

I personally am a fan of just about anything Jack Kirby has ever done and really like his cover. However, I personally still prefer Ditko's Spider-Man image (not the whole cover per se) simply for its dynamic and natural pose. Kirby's is obviously cleaner and the colors are more alive. Apparently so much thought went into Spider-Man by the whole Marvel team that they wanted to make sure the character worked for readers.
So Ditko did the artwork in AF15 and did the alternate cover that was never used. Jack came up with a similar character to SM years earlier with Joe Simon that was based on another similar character.
Bottom line is that Marvel filed the Federal complaint on Friday to protect against the Kirby families allegations in motions filed in Sept in which they lay claim to partial credit the creation of Spider-Man among other characters. In summary, Marvel claims that SM was a "work for hire" that Jack did while working for Marvel, therefore, it belongs to Marvel.
